Contributor Terms and Conditions

We operate and provide the MedTechScope website and platform (Site). In these Terms, when we say Contributor, you or your, we mean you as an individual if you are accepting these Terms for yourself. If you are accepting these Terms on behalf of an entity, such as your employer, and you are authorised to do so, then Contributor, you or your means that entity. When we say we, us, or our, we mean MedTechScope, a company registered in England and Wales with company number 17253863.

1. Engagement and Term

These Terms govern your engagement as a Contributor to the Site and will commence on the date you first submit content to us and continue until terminated in accordance with these Terms.

2. Contributor Obligations

As a Contributor, you agree that you will:

• submit original content that you have the right to share;
• ensure all content is accurate, up to date and not misleading;
• comply with all applicable laws, regulations and professional standards;
• not submit content that is defamatory, obscene or infringes the rights of any third party;
• disclose any conflicts of interest relevant to your contribution;
• respond promptly to any queries we raise regarding your content;
• maintain the confidentiality of any non-public information shared with you; and
• notify us promptly of any changes to your professional registration status.

3. Our Obligations

We agree that we will:

• provide you with reasonable support and guidance regarding submission of content; and
• attribute your contributions appropriately in accordance with our editorial guidelines.

4. Editorial Rights

You acknowledge and agree that we may:

• edit, adapt or amend your content for style, length, clarity or legal compliance;
• decline to publish, or remove, any content at our sole discretion; and
• determine the timing, placement and format of publication.

5. Intellectual Property

Our Pre-existing IP

We retain all rights, title and interest in and to our pre-existing intellectual property, including our branding, platform and templates.

Your IP

You retain ownership of the intellectual property in the content you submit, but you grant us a worldwide, royalty-free, perpetual, sublicensable licence to use, reproduce, adapt, publish and distribute your content in connection with the Site and our business.

You warrant that you own or have the necessary rights, licences, consents and permissions to grant the above licence and that your content does not infringe the intellectual property or other rights of any third party.

Contribution Removal

We may remove your contribution from the Site at any time, including following termination of your engagement, at our sole discretion.

6. Data Protection

Each party shall comply with its obligations under applicable data protection laws, including the UK GDPR and the Data Protection Act 2018, in connection with any personal data processed under these Terms.

7. Termination for Convenience

Either party may terminate this engagement at any time by giving the other party at least 14 days' written notice.

8. Termination for Breach

Either party may terminate this engagement immediately by written notice if the other party commits a material breach of these Terms which, if capable of remedy, is not remedied within 10 business days of being notified of the breach.

9. Liability

Nothing in these Terms limits or excludes either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be limited or excluded by law. Subject to this, our total liability arising out of or in connection with these Terms shall not exceed the fees paid to you, if any, in the 12 months preceding the claim.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms and not to disclose it to any third party except as required by law or with the prior written consent of the other party.

11. Subcontracting

You may not subcontract or delegate your obligations under these Terms without our prior written consent.

12. Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and us. You act as an independent contributor at all times.

13. Governing Law

These Terms are governed by the laws of England and Wales.

14. Dispute Resolution

The parties agree to first attempt to resolve any dispute arising out of or in connection with these Terms through good faith negotiation. If not resolved within 30 days, either party may refer the dispute to the exclusive jurisdiction of the courts of England and Wales.

15. Third Party Rights

A person who is not a party to these Terms has no right to enforce any term of these Terms under the Contracts (Rights of Third Parties) Act 1999.

16. Amendments

We may amend these Terms from time to time by publishing updated terms on the Site. Continued contribution to the Site after such changes constitutes acceptance of the amended Terms.
