Contributor Terms and Conditions

We operate and provide the MedTech Scope website and platform (Site). In these Terms, when we say Contributor, you or your, we mean you as an individual if you are accepting these Terms for yourself. If you are accepting these Terms on behalf of an entity (such as your employer) and you are authorised to do so, then Contributor, you or your means that entity. When we say we, us, or our, we mean MedTechScope (to be incorporated), a company registered in England and Wales with company number [pending].

1.          Engagement and Term: These Terms apply from the time you agree to these Terms, until the date these Terms are terminated in accordance with their terms (Term).

2.        Contributor obligations: You agree to:

(a)          from time to time during the Term, provide us with blog posts, journal articles, reports and other content (Contributions) for us to display on the Site;

(b)         ensure all Contributions are accurate and based on your professional knowledge, opinion, expertise and experience, and are consistent with current best industry and evidence-based practice where applicable;

(c)          warrant that each Contribution submitted is original, has not been previously published elsewhere, and is not currently under review or consideration by any other publication or platform;

(d)         provide us with the right and licence to modify any Contributions you submit, to ensure all content is presented in a style and form that we require (at our sole discretion);

(e)          ensure that no Contribution contains identifiable patient data unless written patient consent has been obtained and is available on request;

(f)          work cooperatively with us in any review process for a Contributions, including responding to our reasonable requests promptly and within reasonable timeframes;

(g)          not provide any competitor of ours with the same or similar information provided under these Terms during the Term and for an additional 6 months after termination or expiry; and

(h)         ensure all Contributions comply with all applicable laws, relevant professional standards and do not constitute advice or any substitute for professional paid advice.

3.           Our Obligations: Subject to your compliance with these Terms, we agree to:

(a)          edit and publish your Contributions on the Site; and

(b)         alongside the published Contribution, include an attribution to the Contributor including representative's name, and as applicable company name, short written summary of representative's role to the extent you have provided us with this information.

4.           Editorial Rights: With respect to any Contribution provided by you, you agree that we reserve the right to:

(a)          edit content for readability, consistency and compliance with the Site standards;

(b)         use all or part of the Contribution in combination with other content or information, to generate new content which can be published on the Site, in accordance with clause 5(b); and

(c)          reject any Contributions that do not meet our reasonable quality standards.

5.           Intellectual Property:

(a)          Our Pre-existing IP: We retain ownership of any IP that we already own prior to the Term or that we create independently of these Terms, including the any posts or content that we created (not including your Contributions that we edit). We retain ownership in the Site, including how it looks and functions, as well as our copyrighted works, trademarks, designs and all other intellectual property.

(b)         Your IP: Any IP you provide to us (Your IP) as part of a Contribution remains yours. You grant us a non-exclusive, royalty-free, irrevocable right and licence to use, reproduce, publish, alter, enhance, communicate or broadcast Your IP that is included in a Contribution, whether altered or enhanced or in conjunction with any other images or text in any form (including in on our Site, social media, third party websites or blogs, digital media, in a publication, poster or presentation) for advertising, marketing, informational, promotional, fundraising or any other commercial purpose or for teaching and research purposes.

(c)          You warrant and represent that Your IP will not infringe the intellectual property rights or any other rights of any third party.

(d)         Contribution Removal: Upon termination or expiry of these Terms, we may remove your Contribution from the Site. For the avoidance of doubt, where any Contribution has been modified, incorporated or combined with any other content or information generated by us, we reserve the right to continue to publish that Contribution (whether in whole or part) on the Site.

6.           Data Protection: You must comply with UK data protection laws.

7.           Termination for convenience: Either party may terminate these Terms by providing 14 days’ written notice to the other party.

8.           Termination for breach: These Terms can be terminated by either party (the Non-Defaulting Party) with immediate effect if the other party (the Defaulting Party) fails to fulfill a significant obligation under these Terms. If the Defaulting Party does not correct the breach within 10 business days after receiving written notice from the Non-Defaulting Party, the Non-Defaulting Party has the right to terminate these Terms immediately.

9.           Liability: We will perform our obligations with reasonable care and skill. However, we are not liable for any indirect or consequential losses that may arise. Subject to your consumer law rights, our total liability under these Terms and conditions is limited to $1000.

10.         Confidentiality: Both parties commit to maintaining the confidentiality of any proprietary or confidential information shared during the Term, but acknowledge and agree that any information included in a Contribution is not confidential, and may be published on the Site in accordance with these Terms.

11.         Subcontracting: You agree to not subcontract the provision of any part of the development of the Contributions without our prior written consent, which may be withheld at our absolute discretion. You agree that any approval to subcontract given by us does not discharge you from any liability under these Terms and you are liable for the acts and omissions of the subcontractor.

12.         Relationship of Parties: These Terms are not intended to create a partnership, joint venture, employment or agency relationship between the parties.

13.         Governing Law: These Terms are governed by the laws of England and Wales.

14.         Dispute Resolution: In the event of a dispute, the parties will first attempt to resolve the matter through mutual discussion or mediation.

15.         Third Party Rights: No person who is not a party to these Terms has any right to enforce its terms.

Amendments: Both parties must sign any changes or modifications to these Terms in writing
